PURCHASE AND SALE AGREEMENT
This
Purchase and sale
Agreement (this “Agreement”) dated
as of October 11,
2015, between :
Ducati Motor Holding,
SpA, (“Seller”)
a corporation duly organized and existing under the laws of Italy, Nandika Agung, UD,
(“Buyer”) a corporation duly
organized and existing under the laws of Indonesia.
Whereas,
A. The
buyer proposes to buy motorcycle from the seller, and the
seller proposes to sell per unit motorcycle to the buyer an aggregate amount of
€ 48.000 (forty eight thousand euro).
B. The buyer intends to use the motorcycle to racing
competition.
Now,
Therefore, the parties agree as follows:
Article 1
DEFINITIONS
In
this Agreement :
1.1 “Banking Day” means a day that is a Italy Banking Day.
1.2 “Euro” or “€”
means lawful money of the Italy.
1.3 “Effective Date”
means the date on which This Agreement is Duly Executed By the Buyer and Seller.
1.4 “Parties” means
both the Buyer and the Seller.
1.5 “Product” has
the meaning as provided in Article 2 below.
Article 2
PRODUCTS
The Buyer agrees to buy 5 (Five) units of motorcycle to
the Seller, with the specifications : Ducati brand, type superbike 1199
Panigale R, with engine capacity 1000 cc and
red as shown in
the ducati website.
Article 3
PRICE
The Seller agrees to sell motorcycles to Buyer, with
specifications Ducati brand, type superbike 1199 Panigale R, with engine
capacity of 1000 cc, with a price per units an aggregate amount of € 48.000
(forty eight thousand euro).
Article 4
COMMITMENT
4.1 Payment :
a.
Seller
agrees to sell 5 (Five)
units of motorcycles to Buyer
and Buyer agrees to pay the
entire price of per
units motorcycle to Seller an
aggregate amount of € 240.000 (Two hundred forty thousand euro).
b.
Buyer shall pay in cash the entire price of 5 units of motorcycles to the
Seller no later than October 11, 2015.
4.2 Delivery :
a.
The Seller
shall
deliver
5 (five) units motorcycle to Buyers
in good condition.
b.
The Seller
shall
deliver 5 (five) units motorcycle to the Buyer
no later than October 25, 2015.
Article 5
EFFECTIVE DATE
This agreement comes into force and binding on the parties on October
11, 2015 and
after the buyer pay off payment to seller.
Article 6
COVENANTS
6.1 The
Seller agrees
to use the aircraft to deliver 5 (five) units
motorcycle to the Buyer.
6.2 The
Seller
shall
deliver 5 (five)
units motorcycle arrived at the Buyer's
residence, which is
located in Jl.Ir
Soekarno
no
5 Surabaya, Indonesia.
6.3 The Seller shall endure the risk that occurs during
the delivery period.
Article 7
EVENT OF DEFAULT
7.1 Events of Default
if
one or more of the following default occurs and continues, the Buyer is entitled to the remedies set out in
section 7.2
a.
When 5 (five) units motorcycles by the Seller in this agreement
delivered late or not delivered.
b.
When the 5 (five) units motorcycle has
been sent the Seller
does not comply with the specifications defined in this agreement.
c.
Seller fails to perform
or observe the entire contents of this agreement and do not rectify a failure
on or before the thirtieth day after it happened.
7.2 Remedies
a.
In the event of default
continues to occur, the Seller
must give notice to the Buyer.
b.
Declare the Buyer's obligation under
this must be stopped and declared to the Seller
to re-accelerate the delivery of all the motorcycles to Buyers
c.
If an event of default
is not remedied within 30 days after the default occurs, the Buyer is entitled to
cancel the agreement and refund payments
7.3 Right not exclusive
The
rights granted here is to accumulate and are not exclusive of other rights, any
rights or remedies provided by law

stated on the first page of this agreement.
